Software License Agreement Introduction This Agreement is made and entered between SoftRUs LLC hereafter referred to as "Vendor" and Your Company hereafter referred to as "Licensee". Definitions * The DbToXml Class Library hereafter referred as Product is a VB.60 based class library, designed to support the construction of xml based code-generators, xml processors, b2b integration tools and components. * DbToXml is a commercially available application built using the DbToXml Class Library. It demonstrates the functionality and features of the library. * Authorized Users of a Licensee should mean employees, agents, contractors and customers of licensee of the Licensee, who are bound to comply with the terms of this agreement. * Delivery Date shall mean the date that Vendor ships the Product. * Software support shall mean support and maintenance services for Programs provided in this agreement Platforms This license agreement applies to DbToXml Library version 1.6. DbToXml supports Windows 95/98/ME/2000/NT/XP. Commercial Licensing Commercial use includes but is not limited to: * Integration of all or part of the source code into a product for sale or commercial license by or on behalf of Licensee to third parties. * Distribution of the binary code to third parties that need it to utilize a commercial product sold or licensed by or on behalf of Licensee. Term Vendor is licensing DbToXml Class Library and source code on a none-exclusive basis for Licensee own use. Vendor is permitting licensee to distribute binaries and any software components based on the DbToXml Class Library to its customers. Delivery Vendor shall provide Licensee with the download URL of the product on or before January 2 2004. Software support services Vendor shall assist Licensee in diagnosing errors and malfunctions, which occur when the Product is used by Licensee. Vendor is not responsible for any errors or malfunctions caused by any third party software not supplied by Vendor. Vendor shall provide support services to Licensee to attempt to correct diagnosed errors and malfunctions. Vendor shall attempt to provide Releases that implement corrections and minor upgrades and shall assist Licensee in using the Product in a way that can avoid diagnosed errors, malfunctions and defects. Vendor will provide reasonable technical support by telephone and e-mail concerning use of the Product and diagnosis of problems or errors. Payment of program license fees In consideration of the license granted under this Agreement, Licensee shall pay to Vendor a DbToXml Library and Source Code license fee of $800.00 and one year software support fee of $160.00. A total of $960.00 shall be paid within thirty days of acceptance of this agreement. No additional per-unit fees or royalties are to be paid based on any distribution of the Product. Restrictions Any new software components in any way based upon DbToXml sources are still bound by the DbToXml (binary) license. Any code based on the DbToXml Class library is still bound by the DbToXml Class Library license agreement. Liabilities * This license does NOT grant the right to redistribute any DbToXml source code in its original form, or any modified forms for any purpose. Overall limitation of damages Under no circumstances, including negligence, shall Softrus LLC be liable for any incidental, special or consequential damages that result from the use or inability to use DbToXml Library, even if Softrus, LLC has been advised of the possibility of such damages. In no event shall Softrus, LLC be liable to Licensee for any damages, losses and causes of action in excess of the amount paid for this license. This license constitutes the entire agreement between the parties with respect to the use of the Product and supersedes all prior or contemporaneous understandings regarding such subject matter. No amendment to or notification of this License will be binding unless in writing and signed by Vendor. Licensee agrees to the terms of this license upon completed purchase request for the Product.
