Software Development Contract
This Contract is made and entered between SoftRUs LLC. hereafter refered to as "Consultant" and
hereafter refered to as "Customer".
Consultant and Customer agree as follows:

2. Reporting
Consultant shall provide

3. Term

Consultant agrees to perform services for the Work to Customer on or before the expiration of the term set forth above.The Customer may terminate the use of Consultants services at any time without cause and without further obligation to Consultant except for payment due for services prior to date of such termination.
4. Payment
Consultant will be paid for Work performed under this agreement as follows:
. Consultants will submitt an Invoice for the work according to payment terms. Invoices shall be paid by Customer within 15 business days of receipt.
5. Confidentiality and Ownership
Consultant recognizes and acknowledges that Customer possesses certain confidential information that constitutes a valuable, special and unique asset. And used herein, the term "confidential information" including all information and materials belonging to, used by, or in the possession of the Customer relating to its processes, servicesand technology, but shall not include (a) information that was already within the public domain at the time the information acquired by Consultant, or (b) information that subsequently becomes public through no act or ommisiion of the Consultant. Consultant agrees that all of the confidential information is and shall continue to be the exclusive property of the Customer, whether or not prepared in whole or in part by Consultant.
6. Return Of Materials
Consultant agrees that upon termination of this Contract, Consultant will return to the Customer all blueprints, notes, specifications, designs, devices and documents and any other material containing or disclosing any confidential or proprietary information of the Customer.
7. Waranties
Consultant warants that:
The Work as delivered to the Customer will not infribge any copyright, patent, trade secret, or other proprietary right held by any third party; and
The services provided by Consultant shall be performed in a profesional manner, and shall be of a high grade, nature, and quality. The services shall be performed in a timely manner and shall meet deadlines agreed between Consultant and Customer.
